Terms of Service

1. Definitions

The following terms apply throughout these Terms of Service. Capitalized terms carry the meaning defined below, whether used in singular or plural form.

"Customer"Any individual, organization, or Solutions Partner that creates an account and uses JetStack AI services.
"Schema Metadata"Structural data describing the configuration of a Customer's platform portal, including property names, field types, pipelines, workflow definitions, and object relationships.
"Customer Content"Operational CRM data such as contacts, companies, deals, tickets, emails, notes, and attachments — data that JetStack AI does not access or process.
"Platform"Any supported CRM or work management system, including HubSpot, Salesforce, Dynamics 365, Jira, Asana, Monday.com, and ClickUp.
"Services"All features provided by JetStack AI, including schema replication, workflow automation, automated audits, template deployment, and the Marketplace.
"Subprocessor"A third-party service provider engaged by JetStack AI to assist in delivering the Services, as listed in our Privacy Policy.

2. Acceptance of Terms

By creating an account, accessing, or using any part of JetStack AI's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy Policy.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. In such cases, "Customer" and "you" refer to that organization.

Binding Agreement

These Terms constitute a legally binding agreement.

If you do not agree to these Terms, you must not access or use the Services. Continued use of the Services after any modification to these Terms constitutes acceptance of such modifications.

3. Service Description

JetStack AI is a platform operations tool that enables Customers and Solutions Partners to manage, automate, and scale configurations across CRM and work management platforms. The Services include:

  • Schema Replication — Replicate workflows, pipelines, properties, lists, and other configuration assets between platform portals
  • Automated Audits — Run 800+ automated data point checks to validate portal configurations and identify discrepancies
  • Workflow Automation — Deploy, clone, and manage automation workflows at scale across portals
  • Schema Mapping — Map objects, fields, and relationships for cross-platform migration and deployment
  • Marketplace — Access and deploy pre-built configuration templates and automation packages
  • Multi-Platform Support — Connect and manage configurations across 7 supported platforms from a unified interface
Architectural Constraint

JetStack AI processes schema metadata only — the structural configuration of your portal.

JetStack AI does not read, ingest, store, or process Customer Content (CRM records such as contacts, deals, tickets, or communications). This is an architectural constraint, not merely a policy decision.

4. Account & Registration

Account Creation

To use the Services, you must create an account by providing accurate, current, and complete registration information. Authentication is managed through PropelAuth with support for SSO, MFA, and OAuth2 protocols.

Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You must promptly notify JetStack AI of any unauthorized access or security breach at team@jetstack.ai
  • Multi-Factor Authentication (MFA) is recommended for all accounts and required for privileged roles
  • You are responsible for all activities that occur under your account, whether or not authorized by you

Platform Authorization

To use the Services, you must grant JetStack AI authorized access to your platform portal(s) via OAuth or API key integrations. By connecting a portal, you represent that you have the necessary permissions to authorize schema-level read and write access for that portal.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Reverse Engineer — Decompile, disassemble, or reverse engineer any part of the Services, APIs, or underlying technology
  • Circumvent Security — Attempt to bypass, disable, or interfere with any security features, access controls, or rate limiting
  • Unauthorized Access — Access portals, accounts, or data for which you do not have authorization from the portal owner
  • Excessive Load — Use the Services in a manner that imposes an unreasonable or disproportionate load on JetStack AI's infrastructure
  • Resell Without Authorization — Resell, sublicense, or redistribute the Services to third parties without a valid partner agreement
  • Automated Scraping — Use bots, crawlers, or automated tools to scrape, extract, or harvest data from the Services beyond normal API usage
  • Interfere with Service — Introduce malware, viruses, or any code designed to disrupt, damage, or limit the functionality of the Services
  • Violate Laws — Use the Services in violation of any applicable local, national, or international laws or regulations

JetStack AI reserves the right to suspend or terminate access for any Customer who violates these acceptable use provisions, with or without notice depending on the severity of the violation.

6. Shared Responsibility Model

JetStack AI operates on a shared responsibility model. Security and compliance obligations are divided between JetStack AI and the Customer as follows:

JetStack AI takes responsibility for the security, availability, and integrity of its own infrastructure and processing. The Customer retains responsibility for their platform portal configuration, access governance, and CRM data security.

7. Data Processing Scope

The scope and nature of data processing is governed by our Privacy Policy. Key commitments include:

  • Schema-Only Processing — JetStack AI processes only schema metadata (property names, field types, object definitions, pipeline structures, workflow configurations). Customer Content is architecturally excluded.
  • Data Minimization — We collect and process only the minimum data necessary to deliver the Services
  • In-Memory Processing — Schema metadata is processed in memory whenever possible to avoid unnecessary persistence
  • Encryption Standards — TLS 1.2+ for data in transit; AES-256 for data at rest
  • Data Residency — Processing occurs primarily in Stockholm, Sweden and US East regions via AWS and Google Cloud
  • Retention Limits — Schema metadata is retained for the duration of service plus 30 days, then securely deleted via cryptographic erasure

8. Intellectual Property

JetStack AI IP

All rights, title, and interest in and to the Services — including the platform, APIs, connectors, algorithms, documentation, Marketplace templates, user interface designs, and underlying technology — are and shall remain the exclusive property of ambrstack. Nothing in these Terms grants you any right to use JetStack AI's trademarks, service marks, or brand elements without prior written consent.

Customer IP

You retain all rights, title, and interest in your schema metadata and platform configurations. By using the Services, you grant JetStack AI a limited, non-exclusive, non-transferable license to access and process your schema metadata solely for the purpose of delivering the Services.

Marketplace Content

Templates, automation packages, and other assets published on the JetStack AI Marketplace are licensed, not sold. Usage rights for Marketplace content are governed by the applicable license accompanying each asset. You may not redistribute, resell, or sublicense Marketplace content without explicit authorization.

Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant ambrstack a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Services without obligation to you.

9. Service-Level Commitments

JetStack AI is committed to maintaining a reliable, high-performance platform. The following operational commitments apply:

Service credits may be issued at JetStack AI's discretion for verified downtime events exceeding the availability commitment. Enterprise customers may negotiate custom SLAs under a separate agreement.

10. Fees & Payment

Pricing

Fees for the Services are set forth on the JetStack AI Pricing page or as agreed in a separate Order Form or Statement of Work. All prices are quoted in U.S. Dollars unless otherwise stated.

Billing

  • Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected
  • Usage-based charges (if applicable) are billed in arrears based on actual consumption
  • Invoices are due within 30 days of receipt unless otherwise agreed

Late Payment

Overdue balances may accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower). JetStack AI reserves the right to suspend Services for accounts with balances overdue by more than 15 days following written notice.

Taxes

Fees are exclusive of all taxes, levies, and duties. You are responsible for paying all applicable taxes, except for taxes based on JetStack AI's net income.

Refunds

Prepaid fees are non-refundable except where required by applicable law or as expressly provided in an Order Form.

11. Confidentiality

Each party acknowledges that it may receive confidential information from the other party in connection with these Terms. "Confidential Information" includes, but is not limited to:

  • Schema metadata, portal configurations, and automation workflows
  • Business plans, pricing, customer lists, and technical documentation
  • Security architectures, infrastructure details, and proprietary algorithms
  • Any information marked as "Confidential" or that a reasonable person would understand to be confidential

The receiving party agrees to:

  • Protect Confidential Information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care
  • Use Confidential Information only for the purposes contemplated by these Terms
  • Not disclose Confidential Information to third parties except as necessary to perform obligations under these Terms, subject to equivalent confidentiality protections

Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law (with prompt notice to the disclosing party).

12. Warranties & Disclaimers

JetStack AI Warranties

JetStack AI warrants that:

  • The Services will perform materially in accordance with the applicable documentation
  • The Services will be provided in a professional and workmanlike manner consistent with industry standards
  • JetStack AI will maintain reasonable administrative, physical, and technical safeguards to protect your schema metadata

Disclaimer

Disclaimer

The Services are provided "as is" and "as available."

JetStack AI disclaims all other warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. JetStack AI does not warrant that the Services will be uninterrupted, error-free, or completely secure.

JetStack AI does not warrant the accuracy, completeness, or reliability of any schema replication, audit, or mapping result. You are responsible for verifying the output of the Services within your platform environment.

13. Limitation of Liability

Aggregate Cap

Liability shall not exceed fees paid in the preceding 12 months.

In no event shall JetStack AI's total aggregate liability under these Terms exceed the total fees paid by you to JetStack AI during the twelve (12) months immediately preceding the event giving rise to the claim.

Exclusion of Consequential Damages. To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with these Terms, regardless of the theory of liability.

Exceptions. The limitations above do not apply to: (a) breaches of confidentiality obligations; (b) a party's indemnification obligations; (c) your payment obligations; or (d) either party's willful misconduct or gross negligence.

14. Indemnification

By JetStack AI

JetStack AI shall defend, indemnify, and hold harmless the Customer from any third-party claims alleging that the Services, as provided by JetStack AI and used in accordance with these Terms, infringe upon the intellectual property rights of a third party. JetStack AI's obligation is conditioned upon prompt notice, control of the defense, and reasonable cooperation from the Customer.

By Customer

You shall defend, indemnify, and hold harmless JetStack AI from any third-party claims arising from: (a) your use of the Services in violation of these Terms; (b) your breach of any representation or warranty herein; (c) your unauthorized use of portal access credentials; or (d) any dispute between you and your end users or platform vendor.

15. Term & Termination

Term

These Terms are effective upon account creation and remain in effect until terminated by either party. Subscription terms automatically renew for successive periods of the same duration unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term.

Termination for Convenience

Either party may terminate these Terms at any time by providing 30 days' written notice to the other party. Termination for convenience does not relieve the Customer of any payment obligations for Services already rendered or committed.

Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure such breach within 15 days of written notice; or (b) becomes subject to bankruptcy, insolvency, or similar proceedings.

Effect of Termination

  • Upon termination, your right to access and use the Services ceases immediately
  • JetStack AI will delete your schema metadata within 30 days of termination via cryptographic erasure, consistent with our Privacy Policy
  • You may request an export of your schema metadata prior to termination
  • Sections that by their nature should survive (including Confidentiality, Limitation of Liability, Indemnification, and Governing Law) shall survive termination

16. Governing Law & Disputes

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Dispute Resolution

The parties agree to attempt to resolve any dispute arising out of these Terms through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitral award shall be final and binding.

Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

17. General Provisions

  • Entire Agreement — These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings
  • Amendments — JetStack AI may modify these Terms at any time by posting the updated version on this page. Material changes will be communicated via email or in-product notification at least 30 days in advance. Continued use after the effective date of modifications constitutes acceptance
  • Severability — If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect
  • Waiver — The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
  • Assignment — You may not assign or transfer these Terms without JetStack AI's prior written consent. JetStack AI may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets
  • Force Majeure — Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including natural disasters, pandemics, acts of government, or infrastructure outages
  • Notices — All legal notices must be sent in writing to the addresses specified in the Contact section below. Notices to JetStack AI must be sent via email to team@jetstack.ai
  • Independent Contractors — The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship
